Terms of Service
These Terms of Service ("Terms") form a binding agreement between Youtab B.V. ("Youtab", "we", "us", "our") and you ("you", "your") governing your use of youtab.io and the Youtab AI service (the "Service"), powered by our proprietary Youtab AI C-OS (Cognitive Operating System).
1. Acceptance of Terms
You accept these Terms when you (a) tick the checkbox confirming agreement during registration, (b) create or log in to a Youtab account, or (c) otherwise use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers both to that organisation and to yourself individually.
2. Eligibility
You must be at least 16 years old to use the Service. If you are between 16 and the age of majority in your jurisdiction, you confirm that a parent or legal guardian has read and agreed to these Terms on your behalf.
You may not use the Service if you are barred from receiving it under the laws of the Netherlands, the European Union, or any other jurisdiction that applies to you.
3. Account registration & security
You may register by email + password or by "Continue with Google". You agree to:
- Provide accurate, current, and complete information.
- Keep your login credentials confidential.
- Enable multi-factor authentication (MFA) when prompted for sensitive actions.
- Notify us immediately at [email protected] if you suspect unauthorised access to your account.
You are responsible for all activity that occurs under your account until you have reported a compromise to us.
4. The Service
Youtab AI provides an AI-powered platform that lets you interact with large language models, upload files, and use tooling built on top of these models. Features, model providers, and pricing may change from time to time; where changes are material, we will notify you in advance as described in §17.
5. Acceptable use
You agree not to use the Service to:
- Break the law of any jurisdiction that applies to you or to Youtab.
- Infringe intellectual-property, privacy, or publicity rights of any person.
- Generate or distribute content that is defamatory, harassing, obscene, or that sexualises minors.
- Generate content intended to deceive, defraud, or impersonate any person or organisation (including deepfakes without lawful basis).
- Attempt to reverse-engineer, decompile, or extract model weights or prompts of underlying AI models beyond what is expressly permitted by their licence.
- Circumvent rate limits, quotas, authentication, or security controls; conduct denial-of-service attacks; scrape at abusive volumes.
- Use the Service to develop a competing product by scraping, training on, or benchmarking against our outputs at scale.
- Upload malware, viruses, or content designed to harm any system.
- Generate advice for making weapons capable of mass casualty, synthesising chemical or biological agents, or targeting critical infrastructure.
- Generate CSAM (Child Sexual Abuse Material). This is a bright line: violations will be reported to the competent authorities including the Nederlands Meldpunt Kinderporno and NCMEC where applicable.
We may suspend or terminate access for violations without prior notice (see §12).
6. AI outputs — no professional advice
The Service produces content using large language models. This content:
- may be factually incorrect, out of date, or biased;
- should not be treated as advice from a lawyer, doctor, accountant, or licensed professional;
- may reflect the perspectives and limitations of the underlying training data, which is beyond our control for third-party models.
You are responsible for verifying and adapting AI outputs before acting on them.
7. Intellectual property
Our IP. The Service, including the Youtab name, logo, source code, UI, documentation, and any accompanying material, is owned by Youtab BV or its licensors and is protected by copyright, trademark, and other laws. Except for the limited licence in this section, no rights are granted to you in the Service.
Licence to you. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for its intended purpose.
Your feedback. If you send us feedback, ideas, or suggestions, you grant us a worldwide, perpetual, royalty-free, sublicensable licence to use them without obligation to you.
8. Your content
You retain all rights in the content you submit to the Service (prompts, uploaded files, and so on — "Your Content"). You grant Youtab a worldwide, non-exclusive, royalty-free licence to host, transmit, process, and display Your Content solely to operate and provide the Service to you. This licence ends when you delete the content, subject to backup retention as described in the Privacy Policy.
You represent and warrant that you own or have the necessary rights to Your Content and that submitting it to the Service does not infringe any third-party rights or violate any law.
Regarding output generated by the Service in response to Your Content: to the extent we hold any rights in that output, we assign them to you, subject to (a) any rights of the underlying model provider under its licence, and (b) your compliance with these Terms. You are responsible for confirming that your use of the output is lawful in your jurisdiction.
9. Payments & subscriptions
Some features of the Service require a paid subscription. If you subscribe:
- Prices are shown in the Service and may be subject to VAT or other applicable taxes.
- Subscriptions renew automatically for the same billing period unless cancelled before the next renewal date.
- You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period, and access continues until then.
- Refunds are provided as required by applicable consumer-protection law (see §16 for EU consumer rights) and otherwise at our discretion.
- No payment processor is engaged at the effective date of these Terms; no paid tier is active. Before we activate any paid tier we will update this section with the payment processor's name and notify affected users. Youtab does not, and will not, store full card numbers.
10. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
11. Third-party services
The Service integrates with third-party services (for example, Google OAuth, AI model providers, payment processors, and email delivery). Your use of those third-party services is subject to the third party's own terms and privacy policy. Youtab is not responsible for the acts, omissions, or content of third parties.
12. Suspension & termination
We may suspend or terminate your access to the Service:
- immediately, if we reasonably believe you have violated §5 (acceptable use), or committed fraud or an illegal act;
- immediately, if required by law or a competent authority;
- on 30 days' notice, for any other reason.
You may terminate at any time by closing your account. Termination does not affect obligations that by their nature survive (indemnification, limitation of liability, IP, governing law, and dispute resolution).
13. Warranty disclaimer
Except as expressly stated in these Terms and subject to mandatory consumer-protection law under §16, the Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI outputs will be accurate or fit for any particular purpose.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- Youtab is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to the Service, even if advised of the possibility.
- Our aggregate liability for any and all claims arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the fees you paid to Youtab in that 12-month period, or (b) €100.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including for intent, gross negligence, death or personal injury caused by our negligence, or liability under mandatory Dutch consumer protection rules.
15. Indemnification
You agree to indemnify and hold Youtab, its officers, directors, employees, and agents harmless from any claim, loss, or damage (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.
16. EU consumer rights (right of withdrawal)
If you are a consumer in the European Union, EEA, or United Kingdom, you have a statutory right to withdraw from a paid subscription within 14 days of subscribing (Directive 2011/83/EU, as implemented in Dutch law by the Burgerlijk Wetboek Book 6, Section 5).
Digital content exception. By starting to use the Service before the 14-day period ends, you expressly consent to immediate performance and acknowledge that you lose the right of withdrawal for content already delivered.
To withdraw, email [email protected] within 14 days of subscribing with your order number.
Nothing in these Terms limits your rights as a consumer under mandatory Dutch or EU consumer-protection law.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email (to the address on file) and by an in-Service notice at least 30 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the update, you may terminate before the effective date and receive a pro-rata refund of any prepaid fees for the unused period.
18. Governing law & jurisdiction
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands, except that either party may seek injunctive relief in any court of competent jurisdiction.
If you are a consumer, you may also bring proceedings in the courts of your country of residence, and Dutch or your local consumer-protection law applies to the extent it grants you stronger protection.
19. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Youtab about the Service and supersede any prior agreement.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger or acquisition.
- Force majeure. Neither party is liable for failure caused by events beyond its reasonable control (natural disaster, war, government action, internet outage, third-party provider failure).
- Notices. Notices to you may be sent by email or in-Service message. Notices to us must be sent to [email protected] or to the registered address in the header.
- Languages. These Terms are drafted in English. Any translation is provided for convenience; the English version controls in the event of conflict.
